The complaint and proposed final order were filed in the U.S. District Court for the Northern District of Texas, with the FTC announcing that Florida, Indiana, Iowa, Montana, Nebraska, Texas, Utah, and West Virginia joined as co-plaintiffs. The settlement still requires court approval, and as Bloomberg Law reported, the three firms did not admit or deny wrongdoing.

What the FTC Alleges

At the center of the case is the “Brand Safety Floor,” a set of common content categories that the agencies allegedly used to determine which publishers could receive advertising spend. According to the FTC’s announcement, the holding companies coordinated through two trade associations: the World Federation of Advertisers’ Global Alliance for Responsible Media (GARM) and the American Association of Advertising Agencies’ Advertiser Protection Bureau (APB).

The FTC says websites that fell into a shared “Misinformation” designation were treated as categorically ineligible for advertising revenue across the participating agencies’ media-buying operations. The agency frames this as horizontal coordination among rivals that displaced independent brand-safety judgment, depriving advertisers of differentiated services and depriving certain publishers of access to demand. According to the FTC, Chairman Andrew N. Ferguson said “The ad agencies’ brand-safety conspiracy turned competition in the market for ad-buying services on its head,” arguing that antitrust law guarantees a market “free from conduct, such as economic boycotts, that distort the fundamental competitive pressures that promote lower prices, higher quality products and increased innovation.”

What the Proposed Order Does

Unlike many recent FTC settlements with technology firms, this one carries no monetary penalty. Instead, Bloomberg Law reported that the agencies agreed to behavioral commitments that would, if approved, reshape how the largest media buyers handle content categorization. The proposed order would prohibit the three holding companies from entering agreements with rivals to set common brand safety standards or to restrict advertising on the basis of political viewpoint or ideology, and from maintaining shared exclusion lists when placing ads.

The FTC’s announcement frames the relief as forward-looking and structural rather than punitive, focused on preventing similar coordination in the future. Bloomberg Law noted that the three firms reached the agreement on a no-admit, no-deny basis, a standard structure for FTC consent orders.

How the Industry Got Here

The settlement closes a chapter that began with the collapse of GARM itself in 2024. According to Fox Business reporting, the WFA’s CEO Stephan Loerke informed members the group was “discontinuing” activities for GARM, citing that GARM was a nonprofit with limited resources to defend itself in court.

The immediate trigger was an antitrust suit filed by Elon Musk’s X and Rumble against the WFA, GARM, and member companies including CVS Health, Mars, Orsted, and Unilever. The suit alleged that GARM organized illegal boycotts that cost X advertising revenue. Fox Business reported that X CEO Linda Yaccarino claimed GARM’s tactics had cost the platform “billions of dollars,” and that a House Judiciary Committee investigation found evidence GARM and its members “directly organized boycotts” against disfavored platforms and content. The WFA said at the time it intended to defend itself in court and was confident in its compliance with competition rules.

The FTC’s case against the three holding companies follows directly from that political and legal pressure, focusing on how agencies translated GARM and APB standards into actual media-buying decisions.

What We Don’t Know

The consent order is proposed, not final. A federal judge in the Northern District of Texas must still approve the settlement before it takes effect, and the public comment period that typically accompanies such orders has not yet concluded. The duration of any prohibitions, monitoring requirements, and reporting obligations will become clear only when the final approved order is entered.

It also remains unsettled how the order will interact with brand safety services provided by third-party vendors, with advertiser-led standards developed outside trade associations, or with the ongoing private litigation between X and the WFA. Two of the largest U.S. holding companies named in the FTC’s narrative of the conduct, Omnicom and IPG, were not parties to this complaint, leaving open whether further enforcement action is contemplated.

Analysis

The action lands at the intersection of two strands of U.S. tech policy. On one side is a more aggressive antitrust posture toward platform-adjacent intermediaries that aggregate market power without owning the platforms themselves: ad agencies, ratings firms, and standard-setting bodies. On the other is the political contention over content moderation and demonetization, which has shifted from social platforms themselves to the upstream ad-buying chain that determines which publishers can be funded.

By converting that contest into an antitrust case rather than a speech case, the FTC has produced a remedy that is narrower but more enforceable than content-policy interventions: it does not tell agencies what to consider safe, only that they may not coordinate the answer with their rivals. Whether differentiated, agency-specific brand-safety regimes actually emerge in place of the prior shared floor will be the practical test of the order over the coming year.
