Shareholders of Crane Harbor Acquisition Corp. voted on March 19 to approve all proposals necessary to complete a business combination with Toronto-based Xanadu Quantum Technologies Inc., according to a joint announcement via GlobeNewswire. The transaction is expected to close on March 26, with shares of the combined company beginning to trade on the Nasdaq and Toronto Stock Exchange under the ticker XNDU on March 27.

The listing will make Xanadu the first publicly traded pure-play photonic quantum computing company, adding a fundamentally different hardware approach to a public quantum market currently dominated by superconducting and trapped-ion platforms.

What We Know

The deal values Xanadu at a pre-money rollover equity of $3 billion, with a pro forma market capitalization of approximately $3.6 billion and an enterprise value of roughly $3.1 billion, as reported by The Quantum Insider. The transaction is expected to generate approximately $302 million in gross proceeds, drawn from up to $225 million in Crane Harbor’s trust account and $275 million in fully committed private investment in public equity (PIPE) financing at $10 per share.

PIPE investors include AMD, BMO and CIBC asset management arms, MMCAP Ventures, Planet First Partners, and Polar Asset Management Partners, which together account for roughly 90 percent of the $275 million private round. Existing backers Bessemer Venture Partners, Georgian Partners, and OMERS Ventures are contributing the remainder, according to CNBC’s earlier reporting when the deal was first announced in November 2025.

Separately, Xanadu is in ongoing negotiations with the Government of Canada and the Government of Ontario for up to CAD $390 million under Project OPTIMISM, a quantum infrastructure investment program. Those talks remain subject to due diligence, according to the company’s press release.

The Photonic Approach

Founded in 2016, Xanadu builds quantum computers that use photons — particles of light — as their fundamental computing units, rather than the superconducting circuits used by IBM and Google or the trapped ions favored by IonQ and Quantinuum. The company’s Aurora system, unveiled in January 2025 and published in Nature, uses 35 photonic chips connected by 13 kilometers of fiber optics across four modular server racks.

The photonic approach carries a key practical advantage: most of the hardware operates at room temperature, unlike superconducting systems that require cooling to near absolute zero. Only approximately 10 percent of a future Xanadu data center would need cryogenic cooling, reserved for heralding input states during qubit preparation. The modular rack-based architecture is designed to scale to thousands of racks and millions of qubits, following a path toward a quantum data center the company aims to establish in Canada by 2029.

Xanadu also develops PennyLane, a hardware-agnostic open-source quantum software library written in Python, which connects quantum systems with classical computing and AI workflows.

Market Context

Xanadu joins a growing roster of publicly traded quantum computing companies that have reached public markets through SPAC mergers. IonQ went public in 2021 and recently became the first quantum company to surpass $100 million in annual revenue, reporting $130 million for fiscal year 2025. D-Wave, which acquired Quantum Circuits Inc. for $550 million earlier this year, posted $2.8 million in Q4 2025 revenue. Rigetti reported $1.9 million in Q4 2025 revenue. Finland’s IQM and Colorado-based Infleqtion have also announced SPAC listings in early 2026.

Xanadu’s $3.6 billion pro forma valuation places it among the most highly valued quantum companies at listing, though the company’s estimated 2024 revenue of $6 million to $9 million reflects the pre-commercial stage of the industry. The company employs roughly 260 people, with 85 percent based in Toronto.

What We Don’t Know

The final proceeds from the deal depend on Crane Harbor shareholder redemptions, which could reduce the trust account contribution below the $225 million maximum. The status and timeline of the CAD $390 million Canadian government investment under Project OPTIMISM remain uncertain, with negotiations still subject to due diligence.

Whether photonic quantum computing can achieve error rates competitive with the neutral-atom and superconducting platforms that have recently demonstrated error correction milestones remains an open question. Xanadu’s Aurora system currently operates with 12 physical qubits — far fewer than the hundreds deployed by competitors — though the company argues its modular architecture provides a clearer path to the millions of qubits needed for fault-tolerant computation.
